Terms of Service

Effective Date: April 7, 2026

These Terms of Service (“Terms”) govern your access to and use of the ShiftArmor platform (“Service”), operated by AIIT Secure (“Company,” “we,” “us”). By accessing or using the Service, you agree to be bound by these Terms.

1. Definitions

  • “Customer” means the organization that registers for and uses the Service.
  • “User” means any individual authorized by a Customer to access the Service.
  • “Customer Data” means all data submitted to the Service by or on behalf of a Customer, including employee records, schedules, incidents, training records, and risk assessment data.
  • “Aggregated Data” means data derived from Customer Data that has been anonymized and aggregated such that it cannot identify any individual or organization.

2. Account and Access

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must notify us immediately of any unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.

3. Use of the Service

3.1 Permitted Use

You may use the Service for its intended purpose: workforce scheduling, safety management, compliance tracking, risk assessment, training management, and related operational functions for your organization.

3.2 Prohibited Use

You may not:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to systems or data
  • Reverse engineer, decompile, or disassemble the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Resell, sublicense, or redistribute the Service without permission
  • Use the Service to generate false safety records or compliance documentation
  • Attempt to bypass security controls or access data belonging to other organizations

4. Customer Data

4.1 Ownership

You retain all rights to your Customer Data. We do not claim ownership of any data you submit to the Service.

4.2 License to Operate

You grant us a limited license to use, process, and store your Customer Data solely to provide and maintain the Service, including generating risk assessments, AI-assisted insights, and compliance reports for your organization.

4.3 Aggregated Data for Model Improvement

We may use anonymized, aggregated data derived from your use of the Service to improve our algorithms, machine learning models, and predictive analytics capabilities. This data is stripped of all personally identifiable information and cannot be traced back to any individual or organization.

Specifically:

  • Raw Customer Data is never shared between organizations
  • Only anonymized statistical patterns (e.g., “high overtime correlates with increased incident rates in manufacturing”) are used for model training
  • Where federated learning techniques are employed, only mathematical model weights are transmitted — your raw data never leaves your environment
  • You may opt out of aggregated data usage at any time by contacting us at sam@aiitsecure.com or through your organization settings

4.4 Data Export and Deletion

You may export your Customer Data at any time through the Service’s built-in export features. Upon termination of your account, we will delete your Customer Data within 30 days, except where retention is required by law (e.g., OSHA recordkeeping requirements).

5. AI-Powered Features

The Service includes AI-powered features (risk prediction, scheduling recommendations, incident classification, compliance guidance). These features are:

  • Advisory only — AI suggestions require human review and approval before action
  • Not a substitute for professional safety, legal, or medical advice
  • Transparent — AI outputs are clearly identified and reasoning is explained
  • Governed by our AI Usage Policy

We do not guarantee the accuracy of AI predictions. You are responsible for verifying AI-generated insights before acting on them.

6. Subscription and Payment

Access to the Service requires a paid subscription after any applicable trial period. Subscription terms, pricing, and billing cycles are as described at the time of purchase. All fees are non-refundable except as required by law or as explicitly stated in a separate agreement.

We reserve the right to change pricing with 30 days’ written notice. Price changes will not apply to your current billing cycle.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for outages caused by factors outside our control (internet disruptions, cloud provider issues, force majeure).

8. Intellectual Property

The Service, including its software, design, documentation, algorithms, and machine learning models, is the intellectual property of AIIT Secure. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

9. Limitation of Liability

To the maximum extent permitted by law, AIIT Secure shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

The Service does not replace professional safety management. We are not liable for workplace incidents, OSHA violations, or safety failures. You remain solely responsible for workplace safety compliance.

10. Indemnification

You agree to indemnify and hold harmless AIIT Secure from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.

11. Termination

Either party may terminate these Terms at any time. Upon termination, your access to the Service will cease. Sections 4.1 (Data Ownership), 8 (IP), 9 (Limitation of Liability), 10 (Indemnification), and 13 (Governing Law) survive termination.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in New Jersey.
